1. Scope

This policy applies to all users who access non-public information through the ASTN portal, data rooms, partner communications, or any other restricted area of the platform. By accessing such information, you agree to the terms of this disclosure.

2. Definition of Confidential Information

Confidential information includes, but is not limited to: deal terms and offering details, company financials and business plans, user and issuer identities, communications between parties, documents shared through data rooms, platform analytics and performance data, and any information derived from or based on the foregoing.

3. Obligations

You agree to protect all confidential information with the same degree of care you use to protect your own confidential information, and in no event less than reasonable care. You may use confidential information only in connection with your authorized use of the ASTN platform and for the purpose for which it was disclosed. You may not disclose confidential information to any third party without the prior written consent of the disclosing party.

4. Exclusions

Information is not considered confidential if it: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of or reference to confidential information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt notice of such requirement.

5. Governing Terms

This disclosure supplements and is governed by ASTN’s Terms of Service and Privacy Policy. In the event of any conflict between this disclosure and the Terms of Service, the Terms of Service shall control.
